- Transaction Type: We seek control acquisitions (a majority stake). This is essential for fully implementing our aggressive operational and financial restructuring plans.
- Annual Revenue: We target businesses generating between $10 million to $50 million in annual revenue. This defines our sweet spot where companies are established but lack institutional-level systems.
- Profitability (EBITDA): Companies must demonstrate a minimum of $2 million in Adjusted EBITDA, confirming solid, sustainable cash flow and the ability to support growth capital.
- Ownership Situation: We primarily focus on Founder-Owned, Family-Owned, or Corporate Carve-outs, as these situations often involve motivated sellers seeking a liquidity event and a successful succession solution.
2. Operational & Market Characteristics
We look for resilient businesses that demonstrate a clear, definable opportunity for value creation post-acquisition:
- Industry Focus: We invest in sectors where our operational expertise is most impactful, including Industrials, Specialized Business Services (B2B), Niche Manufacturing, and Select Technology/SaaS.
- Market Position: Target companies must possess a defensible market position or clear niche leadership, ensuring a resilient customer base and protection from broad market competition.
- Customer Risk: We require low customer concentration, with no single customer exceeding 15% of revenue. This secures long-term revenue predictability.
- Management: We target situations that present a need for management transition. Our model is centered on implementing new, high-caliber operational leadership, which may involve restructuring, supplementing the existing team, or installing experienced replacements.
